TEAM AGENCY PROGRAM (TAP ™) COMPENSATION PLAN

This document defines and explains the compensation plan ("TAPCity.com, Inc. TAP™ Compensation Plan") that TAPCity.com Inc. (TAPCity) has developed for its Independent Agents ("Agents"). The TAPCity TAP™ Compensation Plan may be modified from time to time in the sole discretion of TAPCity. The TAPCity TAP™ Compensation Plan, as it is now structured or as it may hereafter be modified, constitutes an integral part of the Agreement between TAPCity and each of its Independent Agents.

GENERAL: TAPCity.com Inc. (TAPCity) has created a truly unique sales agency program that rewards both those agents who personally acquire customers for TAPCity and those Agents who develop and work with teams of Agents or organizations which acquire customers for TAPCity products and services.

This program is called the Team Agency Program ("TAP™"): The TAP™ Compensation Plan enables individual agents to choose their own approach to this business, develop their own career path, and receive both current and residual income in proportion to their effort and effectiveness. The following positions and activities are part of the TAPCity TAP™ Compensation Plan:

Customer Volume (PMV): The monthly revenue of all directly sponsored customers who subscribe to the services offered through TAPCity are included in the CV of each agent during any single month.

Independent Agent Status: Anyone who wants to become an Independent Agent of TAPCity may do so by filling out an Independent Agent Application and Agreement and submitting the appropriate fee. Agents may choose their status for participation in TAPCity at the time of submitting their Independent Agent Application: Independent Sales Agent (ISA) or Independent Marketing Representative (IMR). The rights and responsibilities of every agent is covered in the policies and procedures.

Agent Monthly Residual Commissions: Agents may earn a monthly residual commission that begins in the second month of a customer subscribing to a service. This residual commission will range from 10% to 20% based on the total direct sales by the agent in that month. Any sale of a TAPCity service by an agent will result in a commission (provided the minimum number of sales has been met). Agents are paid a commission based on their CV according to the schedule of commissions in the TAPCity Commission Schedule. The TAPCity Commission Schedule is set forth later in this section and comprises an integral part of the TAPCity TAP™

Compensation Plan: Please refer to those Schedules to determine specific rates for any given situation. Minimum Sales Requirement: Within 90 days of enrolling as an agent with TAPCity, every agent is required to obtain at least five enrolled customers for TAPCity services. If this minimum is not met then no residual commissions will be paid on those services to the agent.

Customers: A customer is an individual who subscribes to a service offered by the company where the customer is not an agent of the company.

Customer requirement for ISA: Independent Sales Agents (ISAs) who wish to earn a residual override must maintain at least five customers in any month where residual commissions are earned. This customer requirement does not apply to direct commissions that may be earned by any agent for directly enrolling customers.

Customer requirement for IMR: Independent Marketing Representatives (IMRs) who elect the optional status of IMR may earn a residual commission when at least five customers are enrolled. This customer requirement does not apply to direct commissions that may be earned by any agent for directly enrolling customers.

Residual commissions: The actual percentage payout of residual overrides, which are paid beginning in the second month of service to a customer, are determined by the customer volume (CV) of the agent who sold the services. This encourages each agent to assist other agents in their group to achieve greater levels of sales to improve the overall level of commissions earned by each member on the team. The residual overrides are directly linked to the CV in the TAPCity Commission Schedule. The TAPCity Commission Schedule and Leadership Bonuses are set forth later in this section and comprise an integral part of the TAPCity TAP™ Compensation Plan. Please refer to those Schedules to determine specific rates for any given situation. As an example, if Jane is the sales agent whose monthly customer revenue volume on all her 55 customers is $5,497.25 then Jane will be receive a monthly commission of 12%, or $549.73. Jane's upline sponsor is Mary. Mary will receive a level 1 override of 3% or $164.92. All payouts will vary based on the monthly revenue of every agent for thei customers. This hypothetical example is used to illustrate the way the Monthly Residual Commission Schedule is to be interpreted. In no way should this example be used to imply any probable or likely commission for any one individual or agent.

Frequency of Monthly Residual Commissions: All monthly residual commissions will be paid out 45 days in arrears. As an example, commissions earned in the month of July will be paid out on September 15th. This will allow for all accounts to be activated, appropriately tracked to their agent, and monies posted to commission accounts for commission payments.

Quick Start Payouts: New First Month Bonuses have been established to be paid directly to the Agent who enrolled the new customer. These Quick Start Payouts are paid on the sale of each service. These bonuses will be paid out twice per month 30 days in arrears. The TAPCity Commission Schedule is set forth later in this section and comprise an integral part of the TAPCity TAP™ Compensation Plan. Please refer to those Schedules to determine specific rates for any given situation.

Definitions:
Directly Sponsored Agent (DSA): An agent, group, organization or company that you have personally enrolled.

Customer Volume (CV): The aggregate amount of the monthly fees paid by individuals who subscribe to the services offered by an individual TAPCity agent.
