Subsidiary Prepares For Merger Into Public Entity

Tysons Corner, Virginia January 11, 2000 - - INFe.com (OTC BB INFE / INFEE), an Internet infrastructure company, announced today that it has formed a wholly owned subsidiary IT*CareerNET.com, Inc. - in preparation for IT*CareerNETs merger into a fully reporting entity.

The new corporation, which was formed in the State of Nevada, was capitalized at 100 million shares of common stock and 20 million shares of preferred stock. INFe.com expects to retain 70 percent ownership in the newly formed subsidiary following its Initial Public Offering.

INFe.com announced that its wholly owned subsidiary has executed a definitive agreement to merge with a fully reporting public entity. The merger is expected to conclude over the next 90 days. Additionally, the new subsidiary - IT*CareerNET.com, Inc. - plans on announcing a major contract award in the next 10 days.

IT*CareerNET.com, Inc. is planning to use this newly formed public subsidiary to raise capital for the expansion of the IT*CareerNET, its information technology recruiting and career services.
